A law firm seeks an experienced attorney to join its corporate group in Wilmington, DE. This role focuses on working with emerging growth companies and institutional investors. The ideal candidate will have significant experience in venture capital financings, mergers and acquisitions, and corporate governance.

Duties

• Support venture capital financings and M&A transactions.
• Advise clients on corporate governance matters.
• Negotiate and manage preferred stock, bridge, and SAFE financings.
• Conduct due diligence for M&A and venture financings.
• Supervise junior lawyers and staff.

Requirements

• 5-8 years of experience in emerging growth and venture capital.
• Experience with AmLaw 100 law firms preferred.
• Familiarity with NVCA, seriesseed.com, and Y Combinator forms.
• Strong analytical and writing skills.
• Excellent organizational and communication skills.

Education

• Juris Doctor (JD)

Certifications

• Admitted to practice in the jurisdiction of application.
