Job Overview

Acting on behalf of this firm, our recruiting team is searching for a driven, detail-oriented legal associate to support and lead client matters in a high-performance, fast-moving environment. Duties
Lead and manage executive compensation and benefits aspects of mergers, acquisitions, and other corporate transactions
Draft and provide strategic input on equity-based and other incentive compensation arrangements
Analyze and interpret regulatory filings and disclosure obligations under federal securities laws
Advise clients on compliance with applicable tax codes and employment-related regulations tied to benefits and compensation
Collaborate closely with internal teams and external advisors to ensure accurate execution of compensation-related elements in transactions
Oversee junior attorneys and guide them through deal execution and document preparation
Handle multiple high-stakes matters simultaneously with minimal partner oversight
Requirements
Substantial law firm experience in the executive compensation and employee benefits space
Demonstrated history of managing compensation-related work in corporate transactions
Comfortable operating in a dynamic and deadline-driven environment
Capable of independently overseeing matters from intake to closing
Education
Juris Doctor (J.D.) from an ABA-accredited law school
Certifications
Active membership in good standing with at least one U.S. State Bar
Skills
Deep knowledge of equity compensation structures and implementation
Familiarity with securities law requirements for compensation disclosure
Strong drafting and negotiation skills
Excellent judgment and problem-solving capability
Ability to lead projects while maintaining meticulous attention to detail
Exceptional communication and client-management abilities
