This role is designed for a candidate with a robust background in corporate law, including securities matters, private fund formations, and mergers and acquisitions. The ideal candidate will possess a keen eye for detail, strong analytical skills, and the ability to manage complex legal issues in a fast-paced environment.

Duties:

• Advise clients on corporate governance, securities compliance, and related corporate matters
• Manage the formation and structuring of private funds
• Represent clients in mergers, acquisitions, and other business transactions
• Draft and negotiate legal documents, including contracts, agreements, and corporate filings
• Provide strategic legal counsel to clients on business transactions and corporate structure
• Assist with regulatory filings and ensure compliance with securities laws
• Collaborate with senior attorneys and clients on complex legal matters
• Maintain awareness of industry developments and legal trends

Requirements:

• 3-7 years of experience as a corporate attorney
• Experience in corporate law, securities, private fund formations, and mergers and acquisitions
• Strong analytical and research skills
• High attention to detail and thorough proofreading ability
• Exceptional interpersonal communication and client management skills
• Ability to manage multiple priorities and deadlines in a fast-paced environment

Education:

• Juris Doctor (JD) degree from an accredited law school

Certifications:

• Active State Bar membership in good standing (Tennessee or eligible for admission)

Skills:
