Job Overview:
A premier law firm is seeking a Fund Formation Associate (Junior or Mid-Level) to join its growing practice. This role offers a unique opportunity to work closely with elite growth equity and venture capital clients on fund structuring, formation, and operations. The ideal candidate has a strong interest in private investment funds and regulatory compliance, along with experience from a top-tier law firm.

Location:

• San Francisco, CA

Duties:

• Advise funds through all phases of operations, including:

  • Drafting offering materials

  • Drafting and negotiating partnership, LLC, and governing agreements

  • Negotiating with investors

  • Preparing side letters

• Counsel fund managers on:

  • Compliance with securities laws and regulatory frameworks (e.g., Investment Company Act, Investment Advisers Act, Securities Act)

  • Fund structuring, tax issues, and investment transactions

• Advise clients on fund operations, including:

  • Conflicts of interest and compliance issues

  • Employment, consulting, and commercial arrangements

  • Admission of new members to general partner or management companies

  • Separation agreements and internal fund-related loans

Requirements:

• Juris Doctor (JD) degree, class years 2020–2024

• Prior experience at a large law firm required

• Demonstrated interest in private investment fund formation and operations

• Familiarity with venture capital, private equity, or growth equity fund representation is strongly preferred

• Understanding of applicable securities laws and fund regulatory frameworks is a plus

Education:

• JD from a nationally recognized, accredited law school

• High academic achievement strongly preferred

Certifications:

• Active license to practice law in California or Texas (preferred)

• Must be in good standing with relevant bar association

Skills:

• Legal drafting and negotiation

• Regulatory analysis and compliance advisory

• Strong written and verbal communication

• Ability to manage complex transactional matters

• Client-facing confidence and collaborative mindset
