Duties

• Advise public and private companies on complex business transactions, including IPOs and equity offerings.
• Counsel companies on corporate and securities matters, including Exchange Act reporting and governance issues.
• Structure and negotiate public stock and debt offerings, mergers, and acquisitions.
• Lead strategic planning and manage junior and mid-level associates.
• Draft and analyze legal documents, identifying and solving issues.
• Collaborate with internal and external teams to navigate deal-specific issues.

Requirements

• Minimum of 8 years of experience in capital markets and securities law.
• Proven experience in running deals and managing teams.
• Strong drafting, analytical, and problem-solving skills.
• Admission to practice law in the state of residence.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Bar admission in the state of residence.
