Job Overview:
A prominent law firm in Houston, TX, is seeking a seasoned attorney with a background in transactional tax work, specifically within the energy sector. This role focuses on advising clients on complex financial structures, including tax equity arrangements, mergers and acquisitions, and other corporate matters involving renewable energy projects. The successful candidate will contribute to a dynamic legal team serving a range of stakeholders such as project sponsors, financial institutions, and energy developers, with opportunities for nationwide collaboration and client exposure.
Duties:
Advise clients on federal income tax aspects of energy-related transactions
Structure and review tax equity financing arrangements
Support mergers, acquisitions, and joint ventures involving energy assets
Draft and negotiate partnership agreements and tax provisions in transactional documents
Prepare and review tax opinions and memoranda
Interact with clients across sectors, including renewable developers, utilities, and financial investors
Collaborate with attorneys across practice groups and office locations
Participate in firm-sponsored knowledge development, including writing and speaking engagements
Requirements:
5-8 years of experience in a transactional tax practice
Direct experience in the energy sector, including renewable projects (solar, wind, carbon capture, and storage)
Proficiency in handling transactions involving tax credit structures
Demonstrated ability to manage complex deal structures and client expectations
Strong interpersonal and communication skills
Member in good standing with the Texas State Bar
Education:
Juris Doctor (JD) from an accredited law school
Certifications:
Admission to practice law in Texas (required)
Skills:
Deep understanding of partnership tax law and energy tax credits
Experience drafting detailed transactional documentation
Strong analytical and problem-solving skills
Ability to work both independently and as part of a cross-office team
Exceptional client service orientation
