A law firm in New York City is seeking a Corporate Associate Attorney with expertise in Venture Capital and Emerging Companies (ECVC) to join their team. The ideal candidate will be skilled in drafting and negotiating venture capital investment agreements, supervising and mentoring junior associates, and advising emerging companies on operational matters. The role demands strong transactional experience and the ability to support the firm’s ECVC practice efficiently.

Duties and Responsibilities:

  • Draft and negotiate venture capital investment agreements, including NVCA forms.
  • Lead negotiations of key terms in venture capital investment agreements.
  • Supervise, train, and mentor associates in all aspects of venture capital financing.
  • Advise emerging companies on typical operational matters, including board and stockholder communications, approvals, and equity awards.
  • Manage and review capitalization tables and financial models using Excel.
  • Provide strategic legal advice to clients on their venture capital and growth strategies.
  • Collaborate with clients, colleagues, and other stakeholders to ensure smooth and effective transactions.

Requirements:

  • JD or LLM from an ABA-accredited law school.
  • Admission to or eligibility for admission in New York or Massachusetts.
  • 4+ years of transactional experience, particularly in venture capital and emerging companies.
  • Strong knowledge of NVCA forms and venture capital investment structures.
  • Proficiency in Excel and familiarity with capitalization tables.

Education:

  • JD or LLM from an ABA-accredited law school.

Certifications:

  • Admission to or eligibility for admission in New York or Massachusetts.

Skills:

  • Excellent written and oral communication skills.
  • High level of professionalism in working with clients and colleagues.
  • Strong organizational skills and attention to detail with the ability to prioritize and meet deadlines.
  • Ability to collaborate effectively in team settings and work independently.
  • Proven ability to handle multiple responsibilities and manage competing priorities.
