A well-established law firm based in Raleigh, NC is currently seeking a seasoned legal professional to join its team with a focus on corporate law and commercial transactions. This full-time role is designed for an attorney or small legal practice looking to integrate into a collaborative environment, offering the opportunity to support a wide array of businesses across various industries. The role includes a blend of in-office collaboration and remote work flexibility.

Duties

• Guide clients through decisions on legal entity selection and business structuring

• Draft and review contracts, commercial leases, and other operational agreements

• Advise clients on legal implications related to launching, managing, or expanding a business

• Support mergers, acquisitions, and reorganizations from legal due diligence to closing

• Represent clients in routine legal matters involving ongoing business operations

• Collaborate with internal teams and external stakeholders to resolve legal and compliance concerns

• Provide counsel on succession planning and governance where applicable

• Assist in identifying potential risks and opportunities for clients in transactional contexts

Requirements

• Licensed to practice law in North Carolina

• Demonstrated experience in business and transactional law

• Capable of independently managing client relationships and legal matters

• Comfortable engaging in negotiations and contract discussions

• Strong command of legal research, analysis, and drafting

• Prior experience with business planning, M&A, and startup structuring preferred

• Familiarity with adjacent areas such as estate planning or commercial real estate is advantageous

Education

• Juris Doctor (JD) from an accredited law school

Certifications

• Active membership in the North Carolina State Bar
