A nationally recognized law firm is seeking a Senior Associate to join its Corporate and Private Equity group. The ideal candidate will bring significant experience in private equity transactions and a demonstrated ability to lead deal execution. Location

Duties

• Lead complex private equity transactions, including:

  • Leveraged buyouts

  • Minority and junior capital investments

  • Independent sponsor transactions

  • Roll-up transactions

  • “Going private” deals

  • Acquisitions of distressed companies (both in and out of bankruptcy)

• Represent clients in the formation of private investment funds, including:

  • Private equity

  • Venture capital

  • Growth equity

  • Mezzanine

  • Real estate funds

• Advise emerging and established fund managers and institutional investors

• Draft and negotiate transaction documents and fund formation agreements

• Collaborate with colleagues across multiple offices on national platform matters

• Independently manage client relationships and deal workflows

Requirements

• 5 to 7 years of experience handling acquisitions for private equity funds

• Demonstrated ability to independently lead transactional matters

• Licensed and in good standing with the Texas State Bar

• Strong legal and business acumen with a deep understanding of market terms

• Excellent judgment and client advisory skills

• Capable of contributing to business development efforts on a national level

Education

• Juris Doctor (J.D.) from an accredited law school with a strong academic record

Certifications

• Active license with the State Bar of Texas

• Excellent verbal and written communication abilities

• Strong analytical thinking and attention to detail
