Job Overview

A law firm seeks a Capital Markets Associate in Los Angeles, CA. The ideal candidate will have 2 to 4 years of experience in securities and capital markets, with a focus on Exchange Act filings and corporate governance.

Duties

• Prepare Exchange Act filings, including Forms 10-K, 10-Q, and 8-K.
• Represent issuers and underwriters in equity and/or debt offerings.
• Counsel public companies on disclosure and corporate governance.
• Advise on SEC and stock exchange reporting and compliance matters.
• Engage in general corporate and transactional matters.

Requirements

• 2 to 4 years of relevant experience in securities and capital markets.
• Bar admission or eligibility to obtain admission in the jurisdiction of the resident office location.

Education

• Juris Doctor degree from an ABA-accredited law school.

Certifications

• Bar admission or eligibility to obtain admission promptly.

Skills

• Strong understanding of Exchange Act filings and corporate governance.
• Experience with SEC and stock exchange reporting and compliance.
• Ability to counsel public companies effectively.
