Location:

Duties:

• Advise public companies on:

  • SEC reporting and disclosure compliance

  • Corporate governance matters

  • Nasdaq and NYSE listing standards

• Represent issuers and investment banks in:

  • Initial Public Offerings (IPOs)

  • Equity and debt offerings

  • Private Investments in Public Entities (PIPEs)

  • At-the-market (ATM) offerings

• Provide legal guidance on day-to-day issues facing public companies

• Support transactions in technology and life sciences industries

Requirements:

• 4–6 years of relevant experience in capital markets and public company advisory

• Demonstrated ability to manage complex legal matters independently or with minimal supervision

• Experience with both issuers and underwriters preferred

• Familiarity with the legal needs of emerging growth companies is advantageous

Education:

• Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

• Active membership in at least one state bar

• Eligibility for bar admission in the state of the office location

Skills:

• Strong knowledge of U.S. securities laws and corporate governance principles

• Excellent legal research, drafting, and negotiation abilities

• Ability to communicate effectively with clients and team members

• Strong organizational and time management skills
