Associate General Counsel
Duties: Providing advice and counsel to group on a wide range of compliance, regulatory, operational and transactional matters. Collaborating on the legal aspects of the health system’s operations, including enterprise risk management; regulatory and compliance issues; commercial, government and physician contracts; intellectual property and research related matters; corporate governance; real estate; and mergers and acquisitions. Drafts, reviews, and negotiates a wide range of contracts relevant to business and operations, including professional services agreements; clinical affiliation agreements; technology-related agreements; real estate leases; payor agreements; and miscellaneous vendor agreements. Prepares, reviews and negotiates pre-clinical and clinical research related agreements, including clinical trial agreements, collaborative research agreements, material transfer and data use agreements. Provides legal support to the health system’s research accounting and administration departments and the hospital IRBs. Provides guidance and counsel on practice acquisitions, joint ventures and strategic and clinical affiliations, including review of due diligence materials, drafting and negotiating transaction documents, and ensuring compliance with applicable regulatory, licensing and CON requirements. Provides advice on issues involving fraud and abuse, regulatory compliance, hospital and medical licensure, and tax exempt status. Assists with responses to subpoenas, court orders and other regulatory requests for information. Drafts and reviews policies and procedures to ensure compliance with applicable laws and regulations. Assists with the development, review and revision of legal forms and processes designed to streamline matters requiring recurring legal involvement. Participates in various meetings throughout the health system, offering advice and counsel to clients on legal matters as they arise. Develops and delivers education on areas of responsibility. Manages and directs services of outside counsel and other advisors. Communicates and acts in accordance with mission and values.
