The candidate will lead the overall deal process from the LOI stage to deal closing; draft, negotiate; revise purchase agreements and other transaction documents; supervise associates and subject matter experts conducting legal due diligence; lead client meetings and manage communications with the client and other third party advisors; work together with the client and other advisors to resolve high-level issues impacting transaction and/or identified in due diligence; supervise and coordinate with foreign counsel in cross-border transactions; provide assistance with deal closing and post-closing matters; will also advise East Asian clients on corporate, M&A, and other legal matters relating to their US operations, including advising on acquisitions and corporate restructuring of US entities, assisting with entity formation in the US, and providing tax, employment, and other legal advice concerning the day-to-day operations of US subsidiaries. Must have Juris Doctor (JD) Degree; 7 years of private practice experience in multinational mergers and acquisitions and private equity; 5 years of experience leading multi-jurisdictional Mergers and Acquisitions (M&A) transactions, including those involving Asia/Pacific-based buyers or sellers. Minnesota law license.
