Job Title: Finance Associate Attorney

Job Overview:
A prominent law firm located in Minneapolis, MN, is seeking a Finance Associate with 5–6 years of experience to support its nationally recognized commercial finance practice. The role offers exposure to a diverse array of institutional clients, including financial institutions, direct lenders, investors, developers, and nonprofits. The successful candidate will advise on complex finance transactions, including syndicated lending and structured portfolio deals, while collaborating with a collegial legal team in a growth-oriented environment.

Duties:

• Negotiate and document complex finance transactions for institutional and private clients

• Manage syndicated loan structures, portfolio financings, and asset-based lending arrangements

• Advise clients on secured transactions, including compliance with Article 9 of the UCC

• Analyze and apply bankruptcy-related principles in connection with financial transactions

• Support restructurings, distressed asset transactions, and workouts when applicable

• Provide transactional support for private equity or M&A deals as needed

• Collaborate with colleagues and clients to deliver strategic legal solutions

• Conduct legal research, draft memoranda, and produce high-quality transactional documentation

Requirements:

• 5-6 years of hands-on experience in commercial finance law

• Proficiency in Article 9 of the UCC and key bankruptcy provisions

• Familiarity with restructuring or workout processes preferred

• Experience with private equity or M&A transactions is considered a strong plus

• Demonstrated ability to manage multiple projects under tight deadlines

• Clear and persuasive legal writing and verbal communication skills

Education:

• Juris Doctor (J.D.) from an accredited law school

Certifications:

• Active license to practice law in Minnesota

Skills:

• Advanced understanding of loan structuring and financial instruments

• Detail-oriented with strong organizational and analytical capabilities

• Effective communicator with both legal teams and clients

• Ability to work independently and collaboratively

• Technologically proficient in legal research and document management tools
