Job Overview:
A distinguished law firm based in Baltimore, MD, is seeking a seasoned attorney with a strong background in business transactions, corporate structuring, and investment advisory services. This senior-level role involves providing legal counsel across the lifecycle of venture capital investments, private equity transactions, mergers and acquisitions, and other strategic business initiatives. The position offers a blend of autonomy and team collaboration, with an opportunity to integrate into an established client portfolio and contribute to the expansion of the practice.

Duties:

• Guide clients through complex mergers, acquisitions, and divestitures

• Advise on venture capital, private equity investments, and private placements

• Structure and form legal entities for startup and early-stage clients

• Assist in succession planning and strategic reorganization of business entities

• Provide governance guidance to boards of directors, including fiduciary obligations

• Offer legal direction on general corporate operations and commercial contracts

• Collaborate with a team of experienced corporate attorneys on multi-faceted legal matters

• Engage in ongoing client relationship development and expansion of legal services

Requirements:

• Minimum of 10 years of experience in business law or a closely related legal field

• Demonstrated proficiency with private placements, equity offerings, and M&A transactions

• Capable of independently handling client matters without direct supervision

• Experience advising both private and public companies; securities regulatory knowledge a plus

• Adept at managing multiple client relationships with a proactive and business-minded approach

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Active license to practice law in Maryland or eligibility to obtain Maryland Bar Admission

Skills:
