Vice President – Legal Counsel
Duties: Providing legal support and advice to Securities Services in respect of its products and critical business initiatives, related to: Clearing & Custody Services; Corporate Trust Services; Fund Servicing; Agency Securities Lending Services; Foreign Exchange Transactions; and Collateral Management. Monitoring and analyzing regulatory developments and requirements related to Securities Services’ products and business in general. Advising business with respect to legal matters which affect clients who are regulated by the Investment Advisors Act of 1940. Negotiating, drafting, and reviewing complex service contracts, fund documentation, and collateral agreements such as: global custody agreements, administrative services agreements; MRAs, securities lending agreements; collateral management agreements; and issuing and paying agency agreements and online portal agreements. Reviewing and analyzing legal opinions, drafting of bespoke language, and liaising with external counsel to obtain updated opinions. Collaborating with the credit, risk and product management teams in the US and internationally on developing new products and advising with regards to US securities law, cross-border perfection requirements and insolvency issues. Creating standard precedents for new products and updating existing precedents aligned to group and CIB-wide norms and procedures (where relevant).
