Job Overview

A law firm seeks a mid-level Capital Markets Associate for its Northern Virginia office. This full-time position offers the opportunity to work with diverse clients across various industries nationwide.

Duties

• Assist in public and private equity offerings, including IPOs and follow-on offerings.
• Prepare proxy statements and S-4 registration statements for business combinations.
• Interface with the SEC and other regulatory bodies.
• Advise on ongoing reporting requirements under the '34 Act for public companies.
• Represent both issuers and underwriters in transactions.
• Work with SPACs and debt offerings as needed.
• Counsel public companies on corporate governance matters.

Requirements

• 3-5 years of relevant experience in capital markets.
• Experience with SPACs and debt offerings is beneficial.
• Strong academic background and client management skills.
• Proficiency in drafting and negotiation.
• Admission to one or more state bars.

Education

• Juris Doctor (JD) degree.

Certifications

• Bar admission in at least one state.

Skills

• Excellent drafting and negotiation skills.
• Strong client management abilities.
• Familiarity with SEC regulations and corporate governance.
