Job Overview:

A prestigious law firm based in Boston, MA is seeking a Junior to Mid-Level Associate Attorney with a specialized background in tax law. This position involves a wide range of complex transactional tax matters with a focus on private investment structures, mergers, acquisitions, and entity formation. Duties:

• Advise clients on tax aspects of investment funds and their formation, including private equity and hedge funds

• Provide counsel on partnership taxation and related transactional matters

• Participate in structuring and executing M&A transactions, working closely with both buyers and sellers

• Draft and review LLC agreements, tax provisions in transactional documents, and related memoranda

• Analyze and recommend entity formation strategies for various business needs

• Manage multiple projects and coordinate with cross-functional legal teams

• Deliver well-reasoned legal research and clear written analyses

• Support senior attorneys on sophisticated tax planning and deal structuring

Requirements:

• 2-3 years of hands-on experience in transactional tax matters

• Direct exposure to fund formation, investment management transactions, and partnership tax

• Familiarity with M&A tax issues and structuring strategies

• Demonstrated ability to manage complex legal issues with accuracy and efficiency

• Exceptional analytical, communication, and interpersonal skills

• High level of initiative and adaptability in a fast-paced legal environment

Education:

• Juris Doctor (JD) from a U.S. law school accredited by the American Bar Association

Certifications:

• Active membership and good standing with the Massachusetts Bar (or ability to waive in)

Skills:

• Strong drafting and organizational skills

• Ability to prioritize and manage multiple assignments simultaneously

• Deep understanding of U.S. federal income tax rules applicable to partnerships and corporations
