Profile

A law firm seeks an experienced Corporate Associate with 4-7 years of practice to join its dynamic Emerging Growth group in the Denver office. The role offers a unique opportunity to work with leading venture capital funds, emerging tech companies, consumer product businesses, and life science firms. You will be involved in high-impact corporate matters, including financing transactions, mergers & acquisitions, and day-to-day corporate governance.

Duties:

• Represent venture capital funds and emerging growth companies across various sectors, including technology, life sciences, and consumer products.
• Advise clients on complex financing transactions, including debt and equity raises.
• Lead and support mergers & acquisitions, from initial negotiation to post-closing integration.
• Provide ongoing corporate governance counsel to clients, including board and shareholder matters.
• Manage relationships with key clients and gain significant experience in direct client interactions.
• Collaborate with senior attorneys to strategize and execute sophisticated corporate transactions.
• Contribute to the firm’s broader goals, including mentoring junior associates and participating in internal initiatives.

Requirements:

• 4-7 years of corporate law experience, with a focus on venture capital and emerging growth companies.
• Proven ability to manage client relationships and provide sound legal advice.
• Experience in handling complex transactions, with attention to detail and strategic thinking.
• Desire to engage in a client-facing role with direct responsibility.

Education:

• Juris Doctor (JD) from an ABA-accredited law school.

Certifications:

• Active membership in the state bar where the position is located.

• Expertise in corporate law, including mergers & acquisitions, venture capital, and private equity transactions.
• Strong legal research, writing, and negotiation skills.
• Ability to manage multiple high-priority matters and maintain excellent client service.
