Job Overview

A law firm seeks a Corporate and Private Equity Partner with 8-15 years of sophisticated transactional experience to join its team. The position is flexible within the firm's office locations, with a preference for Atlanta, Charlotte, Miami/Boca, or Washington, DC. Candidates must be admitted and in good standing in the state where they practice.

Duties

• Represent private equity funds, portfolio companies, and corporate clients in mergers, acquisitions, divestitures, and other strategic transactions.
• Draft, negotiate, and manage purchase agreements, LLC agreements, and related transaction documents.
• Conduct and supervise due diligence reviews and coordinate transaction closings.
• Advise clients on corporate governance matters, ownership structures, and ongoing business operations.
• Work directly with clients, investment professionals, lenders, accountants, and opposing counsel throughout the transaction lifecycle.
• Collaborate with attorneys across multiple practice groups to provide comprehensive legal solutions to clients.

Requirements

• 6-15 years of meaningful corporate and transactional experience at a law firm or comparable legal environment.
• Significant experience handling M&A transactions and private equity investments.
• Experience representing sponsors, portfolio companies, founders, management teams, or strategic buyers.
• Strong drafting, negotiation, analytical, and client counseling skills.
• Demonstrated ability to manage multiple transactions and work effectively in a team-oriented environment.
• Excellent academic credentials and written and verbal communication skills.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Admitted to practice law and in good standing in the state of practice.
