The candidate will counsel clients with respect to corporate structure, draft corporate documentation and handle related corporate matters. Will review, draft and negotiate technology agreements, such as SaaS, terms of use, development agreements, licensing agreements and IT infrastructure agreements, and provide related advice. Review, draft and negotiate documents and provide legal counsel on a wide range of matters impacting startups. Review, draft and negotiate commercial transactions for large corporations and Fortune500's. Develop and maintain strong relationships with clients. Provide exceptional customer service. Should preferably have experience counseling clients on corporate matters and contracts. Experience with technology transactions and securities are a plus. California Bar admission is essential.
