Job Overview
A well-established and nationally respected law firm is seeking a mid-level Corporate M&A Associate Attorney to join its Corporate/Mergers & Acquisitions Practice Group. This is an excellent opportunity for an experienced corporate attorney to handle complex and high-value transactions across a range of industries. The ideal candidate will have experience in M&A deal negotiation, entity structuring, and tax-related corporate transactions, with a desire to be part of a dynamic, client-focused team.

Duties
Draft and negotiate primary and ancillary legal documents for mergers, acquisitions, divestitures, and joint ventures
Lead and manage legal due diligence processes for both buyers and sellers
Advise on general corporate matters, entity formation, and business structuring
Assist with loan transactions, recapitalizations, and other strategic transactions
Collaborate with tax, finance, and regulatory counsel on structuring deals
Provide guidance to clients on governance issues and transactional risks
Participate in managing client relationships and supporting business development efforts
Ensure compliance with applicable laws, including securities and tax regulations
Requirements
Minimum of 3 years of experience in corporate law with an emphasis on M&A transactions
Demonstrated experience drafting and negotiating complex transaction documents
Ability to lead M&A due diligence and manage timelines for multiple deals
Strong understanding of general corporate law and entity formation
Proven ability to work in a fast-paced, high-volume environment
Excellent communication and interpersonal skills
High attention to detail and analytical thinking
Education
Juris Doctor (J.D.) from an accredited U.S. law school
Certifications
Active law license in good standing in the state of the desired office location (MO)
