The candidate will be forming and maintaining business entities in a variety of jurisdictions. Advising clients regarding corporate governance, tax, and business succession planning. Representing clients in Mergers & Acquisitions, financings, and real estate transactions. Being a resource to staff and other attorneys while promoting effective office practices. Drafting and negotiating asset, stock, merger, employment, escrow, LLC operating, and shareholder agreements. Serving as outside general counsel to privately held businesses. Preparing closing checklists, coordinating closings, preparing signature pages, and following up on post-closing items, including preparation of related closing indices and binders. Drafting and arranging UCC filings, amendments, extensions, and terminations relating primarily to secured transactions, and ordering computerized lien searches. Should have a J.D. from an accredited law school; a member in good standing of the California Bar. Should have 2-5 years of experience as a transactional attorney. Should have the ability to interact comfortably with business owners and c-suite executives. Strong drafting skills; highly team-oriented is needed. Prior knowledge and experience in the areas of corporate governance, succession planning, tax, mergers & acquisitions, financing, or real estate is preferred.
