New York City office of a BCG Attorney Search Top Ranked Law Firm seeks corporate and securities attorney with 5+ years of experience. The candidate will be drafting operating agreements, purchase and sale agreements, joint venture agreements, private securities work, real estate purchase and sale, private offering memoranda, development transactions and licensing and distribution deals. Will be serving to structure, draft and negotiate a variety of commercial agreements, including vendor agreements with suppliers, global supply chain vendors, software providers, consultants and other service providers; complex sales/customer agreements; and licensing and marketing agreements. Analyze and interpret contracts and provide thoughtful legal advice on potential risks and issues in a wide range of legal areas. Draft, review, advise on and submit SEC filings. Must have experience with corporate and securities, start-ups and emerging growth companies, seed and venture capital financings, public offerings, mergers and acquisitions, and/or underwritings. Should preferably have a book of business. Must have experience in finance transactions. New York or California Bar admission essential. Must have exposure to and an understanding of matters relating to intellectual property, particularly copyright law.
