Duties

• Engage in corporate transactions, including mergers and acquisitions.
• Conduct transactional due diligence.
• Assist in fundraising and venture financings, including issuances of preferred stock and convertible securities.
• Act as outside general counsel, including counseling clients and reviewing contracts.
• Manage capitalization tables using systems like Carta and prepare waterfalls and pro formas.

Requirements

• Three to six years of relevant experience.
• Strong academic credentials from a reputable law school.
• Demonstrated interest in the innovation economy and venture-backed companies.
• North Carolina bar license preferred; ability to become licensed in NC required.

Education

• Juris Doctor from an accredited law school.

Certifications

• Licensed to practice law in North Carolina or eligibility to obtain licensure.
