Energy Project Finance Attorney
A respected law firm based in Houston, TX is seeking two accomplished legal professionals to join its Energy Project Finance practice. The roles offer an opportunity to work directly with prominent clients in the renewable energy and infrastructure space, supporting significant financing and transactional matters. The ideal candidates will bring deep experience in either debt finance or tax equity/mergers and acquisitions, particularly within the energy sector. This is a high-impact role offering leadership in transactions, regular client interaction, and the chance to shape major deals in a rapidly evolving industry.
Lead negotiations and structuring of complex financing arrangements for renewable energy projects
Draft, review, and negotiate loan and security agreements, consents, guarantees, and related debt finance documentation
Advise on equity partnerships, joint ventures, membership interest purchases, and tax equity structuring
Oversee drafting and execution of equity capital contribution agreements, JV agreements, and purchase agreements
Contribute to due diligence processes and transaction execution for asset acquisitions and sales
Provide strategic counsel on project development contracts such as EPC agreements, supply and offtake contracts, and O&M arrangements
Coordinate with clients, external advisors, and team members to manage transaction timelines and deliverables
Supervise and mentor junior attorneys on transactions
Minimum of 5 years of legal experience in the energy finance sector, either in a large law firm or an in-house counsel role with equivalent complexity
Demonstrated ability to manage transactions end-to-end with limited oversight
Prior work with sponsors or financing parties in renewable energy project transactions
Bar admission in Texas and good standing
Juris Doctor (JD) from a highly regarded law school
Active license to practice law in Texas
Exceptional written and oral communication
Advanced negotiation and legal drafting ability
Strong research and analytical thinking
Ability to work both independently and collaboratively in high-pressure deal environments
Experience coordinating multidisciplinary teams
Familiarity with renewable energy markets and emerging trends in infrastructure finance
