Assistant General Counsel (Corporate Governance, Securities and ESG Matters)
The candidate will provide advice regarding 1933 Act and 1934 Act securities law compliance matters. Assist in the preparation of SEC and NYSE filings and remain current regarding SEC regulatory developments and NYSE listing requirements. Assist with corporate governance matters, including the preparation of board and committee meeting materials, preparations for annual stockholder meetings, and maintenance of corporate records. Assist with executive compensation matters, management of equity incentive plans and review of Section 16 filings. Assist with the management and oversight of company compliance and risk management policies, including insider trading, related person transactions and stock ownership policies. Collaborate with Finance, Human Resources, Investor Relations and Communications on external communications. Attend to the preparation of the firm's ESG disclosures, including oversight of compliance with new and emerging ESG disclosure requirements. Support M&A and other strategic transactions. Bachelor's degree and a Juris Doctor degree from a top tier American Bar Association accredited law school with demonstrated excellent academic performance is required. Should have 3+ years of experience as a licensed, practicing attorney, with strong, demonstrated securities law and public company compliance knowledge. Should preferably have 4-8 years of combined national law firm and in-house counsel experience. Should be admitted to and in good standing with one State Bar.
