Job Overview

A law firm seeks a Mid-Level Associate in Palo Alto, California, to join its Corporate Capital Markets Group. The role involves representing issuers, investment banks, and underwriters in various transactions and advising on complex securities law issues.

Duties

• Represent issuers, investment banks, and underwriters in public and private transactions of debt and equity securities.
• Advise companies on securities law issues under the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Provide guidance on Nasdaq rules, including the Nasdaq 20% rule and independence analysis.
• Draft and review registration statements, prospectuses, and offering memoranda for debt and equity offerings.
• Prepare documents for private placements of equity securities, including subscription and warrant agreements.
• Draft and review SEC filings, including forms 8-K, 10-Q, and 10-K, as well as proxy statements.
• Draft and review underwriting, purchase, and dealer manager agreements and related documents.

Requirements

• Juris Doctor degree or equivalent.
• Two years of experience in capital markets transactions.
• Admitted to practice law in the US state of practice.

Education

• Juris Doctor degree or equivalent.

Certifications

• Admitted to practice law in the relevant US state.

Skills

• Strong understanding of securities law and Nasdaq rules.
• Proficient in drafting and reviewing complex legal documents.
• Excellent analytical and communication skills.
