Job Overview:
A leading law firm is seeking a highly qualified mid-level associate to join its Private Investment Funds practice. The ideal candidate will have 3-5 years of experience in fund formation transactions within the private equity, real estate, or technology sectors. This position offers an exciting opportunity to work on private placements, unregistered funds, and regulatory matters related to the Investment Company Act and the Investment Advisers Act.

Location:

• New York, NY

Duties:

• Work as part of a team managing significant components of fund formation transactions
• Handle private placements under the 33 Act and unregistered funds under the Investment Company Act
• Gain exposure to the Investment Advisers Act and related regulatory matters
• Collaborate with senior associates and partners to provide strategic advice to clients
• Manage client relationships and help develop business opportunities
• Draft and review legal documents, including fund formation documents, offering memoranda, and other related agreements

Requirements:

• 3-5 years of experience in private investment funds, including private equity, real estate, or tech industries
• Strong experience with fund formation, private placements, and investment company laws
• Ability to manage substantial components of transactions independently
• Excellent written and verbal communication skills
• Strong academic credentials from an accredited law school
• Eligible for bar admission in the state of practice

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Relevant bar admission (or eligibility to obtain admission promptly)

Skills:

• Expertise in private equity fund formation and investment regulations
• Strong analytical, drafting, and legal research skills
• Ability to work effectively in a team and independently
