A law firm seeks a Corporate Attorney in Miami, FL, to join its team focusing on emerging growth companies and institutional investors. The ideal candidate will have extensive experience in venture capital financings, M&A transactions, and corporate governance matters.

Duties

• Communicate effectively with partners, clients, and staff.
• Produce timely and accurate deliverables.
• Analyze complex legal issues and apply legal principles.
• Provide well-reasoned work products.
• Mentor and supervise junior lawyers and staff.
• Travel as required for client meetings and business development.

Requirements

• 5-8 years of experience in emerging growth and venture capital.
• Experience with AmLaw 100 law firms preferred.
• Familiarity with NVCA, seriesseed.com, and Y Combinator forms.
• Experience in preferred stock, bridge, and SAFE financings.
• Ability to manage due diligence on M&A transactions.

Education

• Juris Doctor (JD)

Certifications

• Bar admission in the relevant jurisdiction.
