Mid-Level to Senior Corporate Finance Associate Attorney

Profile

A law firm in New York City is seeking a qualified Mid-Level to Senior Corporate Finance Associate Attorney with substantial experience in lender and/or borrower-side financings. The ideal candidate will have expertise in senior secured credit facilities, split lien financings, unitranche financings, and acquisition financings. This role involves drafting, reviewing, and revising various finance documents, managing deals, client interactions, and working collaboratively within a team-oriented environment.

Duties:

• Handle a wide range of lender and/or borrower-side financings, including senior secured credit facilities, split lien financings, unitranche financings, and acquisition financings.
• Draft, review, and revise credit agreements, debt commitment letters, security agreements, and closing deliverables, such as secretary’s certificates, resolutions, legal opinions, schedules, and exhibits.
• Manage deal processes, including due diligence, document drafting, negotiation, and closing activities.
• Interact directly with clients to provide legal advice, address concerns, and facilitate transactions.
• Collaborate with other attorneys, paralegals, and support staff to ensure efficient deal management and client service.
• Stay updated on industry trends, regulations, and best practices related to corporate finance transactions.
• Assist in the development and mentoring of junior associates and support staff.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the New York Bar.
• 4-8 years of experience in corporate finance law, with a focus on lender and/or borrower-side financings.
• Strong academic background with superior drafting and negotiation skills.
• Experience representing private equity sponsors and portfolio companies is beneficial.
• Diligent, proactive, and team-oriented with the ability to handle significant responsibility for deal management and client interaction.

Education:

Juris Doctor (JD) degree from an accredited law school.

Certifications:

Admission to the New York Bar.
