Principal Legal Counsel

The candidate will serve as primary legal advisor to the PVS Managing Director and the PVS Executive Management Team on all matters impacting the PVS business including contract negotiations, critical regulatory compliance requirements, as well as litigation risk positioning. Provide proactive, strategic advice and guidance to the business, helping navigate a complex federal and state regulatory environment to promote and protect the company’s interests, with a specific focus on holding and expanding the PVS market footprint. Participate, as required, in the formulation of PVS strategic planning, as well as general management policy, joining meetings of the PVS Executive Management Team. Provide strategic guidance on litigation risks impacting Pearson, PVS and the Connections Academy supported online schools. Support negotiations of critical client and vendor agreements. Provide guidance to the business on maintaining proper corporate interactions with the relevant local, state and federal governmental bodies, legislatures and the community at large. Oversee delivery of legal services and resources to accomplish corporate goals, strategies and priorities. Manage the development of a team of counsel and delivery of legal services to key PVS stakeholders. Serve as the Pearson Legal point of contact regarding all internal audits of PVS. Manage outside counsel working on PVS related matters, including budget planning and cost control. Keep the VP appropriately apprised of material legal issues affecting PVS and relevant parts of Pearson. Help drive a compliance culture across PVS legal, liaise as appropriate with Pearson’s Compliance team in the provision of training, guidance, advice and analysis on Pearson’s Code of Conduct, ABC Policy and other governance rules and procedures and, where requested, assist the Compliance team in connection PVS investigations or audits. Work collaboratively with colleagues in the global Legal Function, including sharing knowledge and providing input to wider Function initiatives and processes, to develop consistent and effective Function-wide expertise, infrastructure and policies. Maintain an up-to-date knowledge of legal, political and macroeconomic developments relevant to both Pearson and PVS. Develop a strong understanding of PVS strategy, objectives and challenges and how Legal can support their goals within an appropriate risk profile. Counsel senior management and business partners on emerging legal and regulatory issues and risks, including where appropriate providing substantive presentations and training. Legal degree or equivalent qualification with proven relevant experience working independently in a legal environment is required. Substantial post-qualification experience in-house is preferred. Admission to practice law in a US state is required.
