Young Conaway Stargatt & Taylor is seeking a Legal Counsel Director of Risk Management to manage a variety of programs and systems to prevent and mitigate the firm’s operational risks, including New Business Intake, Conflicts of Interest, Information Governance and Data Protection, Insurance and assisting the firm’s General Counsel.
A Legal Counsel Director of Risk Management is responsible for ensuring the safety and security of all the people, assets, and processes across the organization; facilitates risk management programs to mitigate risks that may affect the organization's reputation and stability; and identifies, assesses and makes recommendations that will manage and mitigate the firm’s operational risks. The Legal Counsel Director of Risk Management serves as an Assistant to General Counsel; manages the firm’s New Business Intake (NBI) and Conflicts of Interest (COI) processes; oversees Information Governance and Data Protection (IGDP) and Insurance programs; and is responsible for reviewing and analyzing potential conflicts for new business and attorney hiring. The Legal Counsel Director of Risk Management is an active member of the Administrative Team.
This is an exempt, full-time position reporting to the Chief Operating Officer and General Counsel.
Responsibilities include but are not limited to:
I.
Management of New Business Intake (NBI) Process and System
NBI software management Maintain and update conflicts and NBI software
Train and arrange for training of NBI staff and firm attorneys and staff on software usage
Manage data tables in software (currently Intapp Open) to assure accuracy and integrity
NBI department staff and budget management
NBI system management Create, update, and engage in constant system improvement of systems affected by NBI process
Manage system of conflicts and NBI requests response and processing
II. Conflicts of Interest
Conflict of interest expertise and management Stay informed and up-to-date on the law of ethical, business, and other conflicts of interest that affect legal representation
Advise and counsel firm attorneys on law of conflicts of interest
Facilitate disagreements or disputes on or in areas of conflicts of interest
Review and analyze lateral and contract attorney prior work history conflicts reports
Assist in clearing attorney candidates
Assist in implementing ethical walls when deemed appropriate
Facilitate Conflicts of Interest Committee Arrange for periodic meetings of partners on committee
Advise and seek advice from committee members on notable and timely conflicts topics of concern at the firm and in the law generally
III. Information Governance and Data Protection (IGDP)
IGDP committee facilitation and coordination Call and facilitate meetings, set agendas based on current topics of concern in IG or DP; take and maintain meeting minutes
Maintain IGDP common collaboration site
Security Awareness Program (SAP) management and facilitation Manage Security Awareness training program for new and current personnel
Conduct on-boarding security training for new staff and attorneys
Conduct periodic testing of personnel for compliance with security protocols (avoidance of phishing and other email-based threats)
Manage branded system of SAP
Work with Records Manager to manage firm-wide security awareness program
Respond to security inquiries
Broadcast announcements as needed on emergent data or email security issues
Ethical Wall Management Work with Records Manager to manage and stay up to date on software to impose and lift access security (“ethical walls”) to electronically stored information (ESI) worksites and document management system
ESI data monitoring Work with Records Manager to monitor ongoing access to ESI in document management system specifically for apparent inappropriate access or to monitor attorneys who will be soon leaving the firm for inadvertent or purposeful misappropriation of data (documents, files, etc.)
eDiscovery matter information provided to eDiscovery Manager monthly
IV. Providing Assistance to General Counsel
Contract review and drafting
Review and counsel on “outside counsel guidelines” and other client-provided or required contract provisions
Counsel on general contracts for administrative staff and firm attorneys
Assist attorneys in reviewing and drafting engagement letters and specific provisions thereof
Maintain indexed archive of all conflict waivers and engagement letters and contracts
Due diligence questionnaires: review, coordination of response, and submission
Statutes of limitations (SOL) monitoring: maintain database and process to review SOL for tort practices and provide monthly report to Personal Injury Section
Assist on various tasks and research as assigned
V. Insurance Program
Insurance coverage oversight: continual, ongoing review of sufficiency and types of coverage for firm
Insurance coverage management: first point of contact with broker and carriers on general matters
Insurance coverage annual renewal process: obtain coverage quotes, compile necessary information and complete variety of insurance applications and renewal questionnaires
Insurance claim management: assist GC as assigned
Certificates of Insurance: manage the provision and receipt of required certificates of various insurance coverages
Requirements:
Law degree from an accredited law school
Delaware State Bar membership is desirable
Experience in conflicts clearance in a large law firm and using internal conflicts database software (IntApp Open) is desirable, but not required
Demonstrated risk management mindset; proven ability to exercise discretion and good judgment
Knowledge of the ABA and DE rules of professional responsibility, specifically relating to conflicts of interest preferred
Proficiency using a variety of online research tools and other business/financial resources
Supervisory and training experience preferred
Keen attention to detail
Advanced oral and written communication skills, including the ability to prepare, understand, analyze, interpret complex reports and to communicate effectively with the firm’s attorneys regarding conflict of interest issues
Strong interpersonal and organizational skills and ability to work productively with firm personnel at all levels; effective customer service skills
Strong technology skills; proficiency in the use of Microsoft Office Suite
Ability to research specific jurisdiction rules as they relate to conflict of interest issues
Flexibility as priorities/tasks change; availability to work before or after standard work hours as necessary to meet job demands and firm needs
Prior experience with law firm applications such as LegalKey, 3E, iManage, FileSite, Accuroute, Equitrac is desirable, but not required
Ability to work as part of a team and independently
Strong analytical and problem-solving skills
