Duties:

• Represent issuers and investment banks in public and private securities offerings, including IPOs, follow-on offerings, and private placements.
• Advise publicly traded companies on compliance with the Securities Exchange Act of 1934, including periodic reporting, disclosure obligations, and exchange listing standards.
• Guide on corporate governance matters, including board and committee responsibilities, executive compensation, and shareholder relations.
• Draft, review, and negotiate various securities-related agreements and documents.
• Conduct legal research and analysis on securities laws, regulations, and industry trends.
• Collaborate with clients and internal teams to develop and implement strategic legal solutions.
• Stay current on developments in securities law and provide updates and training to clients and colleagues as needed.
• Handle regulatory inquiries and investigations related to securities matters.

Requirements:

• 2-7 years of relevant experience in securities and capital markets law.
• Proven track record in representing issuers and investment banks in securities offerings and advising on compliance with federal securities laws.
• Demonstrated experience in a law firm environment with a strong understanding of securities regulations and corporate governance.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Admission to the bar in New York State.
