A law firm seeks a junior to mid-level Fund Formation and Investment Management Associate to join its practice in New York. The ideal candidate will have 2-6 years of relevant experience in fund formation and investment management, with a focus on structuring and negotiating for institutional investors.

Duties

• Assist in fund and management structuring.
• Negotiate with institutional investors, including government pension plans and endowments.
• Handle secondary sales of LP fund stakes on both buy- and sell-side.
• Participate in GP-led fund restructurings.
• Draft and review legal documents with precision.
• Collaborate with partners, senior counsels, and clients.

Requirements

• 2-6 years of experience in fund formation and investment management.
• Knowledge of the Investment Advisers Act registration and compliance.
• Understanding of the Securities Act as it pertains to private investment funds.
• Strong interpersonal skills and a proactive attitude.
• Exceptional work ethic and ability to thrive in a fast-paced environment.

Education

• JD from an ABA-accredited law school.

Certifications

• Active member in good standing of the Bar in the jurisdiction(s) where admitted.
