A law firm seeks a talented and motivated Tax Associate to join its team in Los Angeles, CA. This position offers the opportunity to work in a dynamic transactional tax practice. The ideal candidate will have 3-5 years of experience, focusing on general M&A, partnership issues, and tax-related matters such as fund formation, REITs, joint ventures, and private equity. The candidate should demonstrate excellent legal analysis, research, and communication skills while being able to manage complex tax issues with precision.

Duties:

• Handle complex transactional tax matters, including fund formation, REITs, joint ventures, private equity, and M&A.
• Provide strategic tax advice on partnership structures, mergers, and acquisitions.
• Draft legal documents and perform legal research related to tax law.
• Collaborate with other legal professionals to develop tax strategies for clients.
• Assist in structuring transactions to minimize tax liabilities and maximize efficiencies.
• Advise clients on tax implications of various business structures and transactions.
• Manage multiple cases and deadlines while maintaining a high level of attention to detail.
• Contribute to client relationships and business development opportunities.

Requirements:

• 3-5 years of experience in transactional tax law, with a focus on M&A and partnership issues.
• Strong academic background and excellent verbal and written communication skills.
• Experience with fund formation, REITs, joint ventures, and private equity preferred.
• Previous experience in a law firm is preferred, though experience in a large accounting firm will also be considered.
• Ability to work independently while collaborating with a team.
• Strong problem-solving skills with the ability to develop creative solutions for clients.
• Proficiency in tax research tools and technology.

Education:

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

• LL.M. in Taxation is preferred, or significant tax coursework at the JD level.
• Must be licensed and in good standing in the jurisdiction in which the candidate practices.

• Expertise in transactional tax law, including M&A, partnerships, and private equity.
• Excellent writing, research, and legal drafting skills.
• Strong client communication and relationship-building abilities.
• High level of organizational skills and attention to detail.
