Job Overview

A law firm seeks a Corporate M&A Associate Attorney with approximately 3-5 years of experience to join their Corporate Practice Group in Vienna, MD. The ideal candidate will have substantial experience in mergers and acquisitions, with additional general corporate experience considered a plus.

Duties

• Support and manage all phases of middle-market M&A transactions, including due diligence, drafting and negotiating transaction documents, and coordinating closings.
• Draft, review, and negotiate purchase agreements, ancillary transaction documents, and other corporate agreements.
• Assist clients with a broad range of corporate governance and general business matters.
• Collaborate with attorneys across multiple practice areas to provide strategic, business-focused legal counsel.
• Manage multiple transactions simultaneously while maintaining exceptional attention to detail and client service.

Requirements

• J.D. from an accredited law school.
• Approximately 3-5 years of M&A experience at a law firm.
• Experience supporting middle-market M&A transactions.
• General corporate law experience is a plus.
• Strong drafting, negotiation, analytical, and organizational skills.
• Ability to manage associate-level deal responsibilities with appropriate partner oversight.
• Excellent written and verbal communication skills.
• Admission to practice in at least one applicable jurisdiction (or ability to obtain admission).

Education

• J.D. from an accredited law school.

Certifications
