A well-established law firm is seeking a Capital Markets Associate Attorney with 3–5 years of corporate law experience to join its Silicon Valley office. This role involves advising clients on SEC-registered securities offerings, ongoing securities law compliance, and corporate governance. Location:

• Palo Alto, California

Duties:

• Advise clients on SEC-registered equity and debt securities offerings

• Handle ongoing securities law compliance and public company reporting obligations

• Provide guidance on corporate governance matters

• Support venture capital financings and private offerings (preferred)

• Collaborate closely with internal teams and clients to drive projects to completion

• Contribute to client teams handling both local and national matters

Requirements:

• 3–5 years of relevant corporate and securities law experience

• Background in a large or sophisticated mid-size law firm environment

• Experience managing transactions and taking ownership of legal projects

• Strong understanding of public company disclosure requirements

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Admission to the California Bar or eligibility to practice under California rules

Skills:

• Deep knowledge of federal securities laws and corporate governance

• Experience drafting and reviewing offering documents and SEC filings

• Strong organizational and project management skills

• Excellent written and verbal communication abilities

• Team-oriented mindset with ability to work independently and manage client relationships
