Part Time Lecturer, School Of Law, Effective Transactional Lawyering Skills
The candidate will build their practices by adding value to their clients transactions. In addition to having strong drafting and negotiation skills, they think creatively and strategically, more like skilled chess players than technicians. This seminar teaches international LLM students how to identify where the value in a given transaction comes from and how, as transactional lawyers, they might add even more value to the deal. Through role plays, simulations, in-class exercises and written assignments, students learn strategies for translating the concepts of a business transaction into legal documents. Building on the premise that no contract provision can be understood in isolation, students learn how the various provisions of deal documents interact with each other to further a client’s business objectives. This is not a contract drafting class. The emphasis will be on understanding the logic underlying the provisions and the context of the business transaction for which the provisions are to be tailored. Time permitting, the class will explore the ethical issues that transactional lawyers face. This class is open to foreign-trained LLM students in the LLM in American Law and Intellectual Property Law Programs. Three credits.
