Job Overview

A law firm seeks a team-oriented Corporate Associate to join its Cleveland office. The position focuses on middle-market private equity and transactional work, offering the opportunity to collaborate with partners and clients on sophisticated transactions across various industries.

Duties

• Handle substantive corporate and transactional matters, including M&A, entity formation, and governance.
• Manage financing, restructuring, and other complex business transactions.
• Draft term sheets, conduct due diligence reviews, and prepare due diligence reports.
• Draft transaction documents such as purchase agreements and employment agreements.
• Assist with post-closing transaction matters and general client counseling.

Requirements

• 4-6 years of experience in corporate and transactional matters.
• Strong drafting and negotiation skills.
• Sound business judgment and ability to manage deal execution.
• ESOP transaction experience preferred but not required.

Education

• Juris Doctor (JD) degree required.

Certifications

• Bar admission in the state of Ohio.
