Duties: Negotiate, draft, and analyze a wide variety of commercial, corporate, and lending contracts, including: credit agreements, security agreements, subordination agreements, purchase and sale agreements, commitment letters, term sheets, and more. Represent borrowers, banks, and other institutional lenders in secured and unsecured loan transactions, including construction lending, IDA and other bond financing, leasehold mortgage financing, and revolving lines of credit. Provide legal advice and counsel to clients on various legal risks, business strategies, and other issues related to the purchase, sale, development, construction, financing, and leasing of commercial real estate. Perform due diligence review of documents, including surveys, title policies, leases, mortgage documents, organizational documents, disclosure schedules, and more.
