Job Overview

A law firm seeks an experienced transactional attorney in Salt Lake City, Utah. The ideal candidate will provide sophisticated legal counsel on business transactions, corporate governance, and outside general counsel matters, becoming a strategic advisor to business owners.

Duties

• Draft, review, and negotiate commercial agreements.
• Structure and document business acquisitions and sales.
• Conduct legal due diligence for mergers and acquisitions.
• Prepare letters of intent and closing documents.
• Coordinate transaction closings and post-closing matters.
• Form and organize business entities and prepare related agreements.
• Advise on entity structure, governance, and business planning.
• Serve as outside general counsel for closely held businesses.
• Identify legal risks and provide practical solutions.
• Collaborate with clients' financial advisors and other professionals.
• Deliver exceptional client service and manage multiple matters.

Requirements

• Juris Doctor (J.D.) from an accredited law school.
• Active member in good standing with the Utah State Bar (or eligible for admission).
• Three or more years of experience in business, corporate, or transactional law.
• Experience drafting and negotiating complex business agreements.
• Strong analytical, negotiation, and problem-solving skills.
• Excellent written and verbal communication abilities.
• Ability to explain sophisticated legal concepts in practical terms.
• Highly organized with exceptional attention to detail.

Education

• Juris Doctor (J.D.) from an accredited law school.

Certifications

• Active member in good standing with the Utah State Bar (or eligible for admission).
