Job Overview
A law firm seeks a junior or mid-level associate to join its Corporate Public Companies group in New York. The ideal candidate will have 3-5 years of experience with IPOs and capital market transactions, including advising pre-IPO and public companies on disclosure, corporate governance, and compliance matters.

Duties

• Advise clients on SEC and stock exchange reporting and compliance.
• Assist in capital markets transactions for issuers and underwriters.
• Work with start-ups and emerging growth companies on financings.
• Engage in mergers and acquisitions and underwriter representation.
• Collaborate with tech and life sciences clients on IPOs and public company matters.

Requirements

• 3-5 years of relevant experience.
• Admitted to practice in New York preferred.
• Previous large law firm experience required.

Education

• Juris Doctor (JD) degree.

Certifications

• Admitted to the New York State Bar preferred.

Skills

• Strong understanding of '33 Act and '34 Act matters.
• Excellent communication and collaboration skills.
• Ability to work directly with clients on corporate matters.
