Attorney (Law and Regulation)

The candidate will be reviewing, drafting, revising and negotiating sophisticated agreements with vendors and other third parties, including technology-related agreements (e.g. software and end-user license agreements, SaaS/IaaS/PaaS agreements, implementation and maintenance agreements), general business contracts, such as professional services agreements, master agreements and statements of work, NDAs, service level agreements, RFPs, and other complex commercial agreements. Providing practical legal advice on contract disputes and other contractual matters arising from vendor agreements. Sharing responsibility for maintaining, updating, and revising contract template agreements and related materials. Counseling business leaders on general business matters and compliance-related matters, including responding to internal requests for legal analysis and interpretation of regulations and statutes. Acting as a strategic partner with business leaders to assist them in achieving their business objective. Must have 2-4 years’ experience in contract drafting, review, and negotiation, including experience working on complex transactional matters and technology agreements. Experience providing legal advice and guidance to internal and/or external clients is a plus. Strong contract negotiation and drafting skills, including the ability to think creatively to find common ground in contract negotiations and the ability to balance legal risks against business interests. Sharp attention to detail, with a focus on accuracy in drafting/reviewing contracts. The ability to communicate clearly, which includes explaining complicated concepts and difficult decisions to business leaders within the organization. Results-oriented, able to successfully take ownership, resolve conflicts, problem-solve, and exert influence appropriately. Sound administrative and time management skills. Strong relationship-building skills and a commitment to customer service. Self-motivated and able to work independently. Juris Doctorate degree required. Licensed to practice law in the state of New Jersey.
