Duties

• Lead or contribute to mergers and acquisitions and private equity transactions.
• Engage in capital markets transactions and compliance reporting.
• Advise on venture capital and early-stage investment transactions.
• Participate in structured finance transactions and investment management representations.

Requirements

• Licensed to practice in or eligible for admission without examination in Minnesota.
• 2-4 years of experience in relevant transactional matters.
• Strong writing, analytical, organizational, leadership, and communication skills.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Admission to the bar in Minnesota or eligibility for admission without examination.

Skills

• Proficiency in corporate governance and venture capital investment transactions.
• Experience with private offerings of equity and/or debt securities.
• Knowledge of Forms 10-K, 10-Q, and 8-K filings and proxy statements.
