A law firm seeks a mid- to senior-level associate to join its Emerging Companies and Venture Capital Group in Los Angeles, CA. The successful candidate will collaborate with companies and investors on capital raises, mergers and acquisitions, and corporate governance and finance issues, working with a national team across various industry sectors.

Duties

• Assist with emerging companies, private securities offerings, and financing transactions.
• Draft and negotiate acquisition agreements and manage transaction closings.
• Maintain governance policies and practices, including equity incentive grants.

Requirements

• 4-7 years of experience in relevant legal practice areas.
• Knowledge of federal securities laws and regulations.
• Am Law 100 experience preferred.
• Admitted to practice law in California.

Education

• JD from a nationally recognized and accredited school.

Certifications

• Admitted to the California Bar.

Skills

• Exceptional communication and project management skills.
• Ability to manage a fast-paced, complex workload.
• Strong understanding of business fundamentals.
