Job Overview: A leading law firm is seeking an associate to join its Corporate Securities Regulation & Corporate Governance practice in Washington, DC. This position offers an opportunity to work with top-tier clients on complex issues related to securities regulation, corporate governance, and compliance. The ideal candidate will have experience advising public companies on Exchange Act disclosure requirements and corporate governance standards, alongside a strong academic background and excellent research and writing skills.

Location:

  • Washington, DC

Duties:

  • Advise public companies on securities regulation, focusing on Exchange Act disclosure requirements and corporate governance standards.
  • Draft and review SEC filings, including proxy statements, annual reports, and other public company disclosure documents.
  • Provide guidance on corporate governance best practices and compliance with relevant regulations.
  • Assist clients with regulatory inquiries and compliance strategies.
  • Conduct legal research and offer strategic advice on complex securities law issues.
  • Collaborate with senior attorneys to manage client relationships and business development opportunities.
  • Stay current on regulatory developments and trends in securities law and corporate governance.

Requirements:

  • 1-3 years of experience in securities regulation and corporate governance.
  • Strong academic credentials from a top law school.
  • Experience advising public companies on Exchange Act disclosure requirements and corporate governance practices.
  • Excellent legal research, writing, and communication skills.
  • Ability to manage multiple tasks and deadlines effectively in a fast-paced environment.
  • Admission to the State Bar or eligibility for admission.

Education:

  • J.D. from an accredited law school (Graduation years 2020–2022 preferred).

Certifications:

  • Admission to the State Bar or eligibility to apply.

Skills:

  • In-depth knowledge of securities regulation and corporate governance matters.
  • Strong research, analytical, and writing skills.
  • Familiarity with SEC filing requirements and corporate governance frameworks.
  • Ability to communicate complex legal issues clearly and effectively.
  • Capacity to work collaboratively in a team environment and manage client relationships.
