A prominent law firm based in New York City is seeking a highly qualified mid-to-senior-level associate to support its sophisticated Private Investment Funds and Real Estate Finance practice. This position offers an opportunity to engage with complex fund structuring matters, represent fund sponsors, and support a wide range of private investment vehicles. The ideal candidate will contribute to a dynamic team serving institutional and boutique clients in a fast-paced, high-standard legal environment.

Duties

• Support fund sponsors in forming and managing private investment funds, separate accounts, and related investment structures

• Draft and negotiate fund documentation, offering materials, and governing agreements

• Conduct regulatory analysis and advise on compliance matters related to investment vehicles

• Collaborate with internal teams across tax, corporate, and finance disciplines

• Manage client expectations and communications regarding fund structuring strategies

• Assist with investor negotiations and closings

• Monitor and interpret relevant changes in securities and investment regulations

Requirements

• Minimum of 4 years of direct experience in private investment fund formation

• Substantive understanding of partnership and securities laws affecting private funds

• Demonstrated ability to manage multiple priorities and meet client deadlines

• Commitment to high-quality work product and service delivery

Education

• Juris Doctor (JD) from an accredited, top-tier U.S. law school

Certifications

• Admission to the New York State Bar (or eligibility for waiver/transfer if licensed in another jurisdiction)

• Proficiency in legal research and analysis related to investment management
