Corporate Counsel
The candidate will provide general legal services to support the business operations of the Company. Negotiate, draft, and review a variety of commercial agreements, including sales contracts and supplier contracts. Draft and update standard terms and conditions and forms of agreements, and review requests to deviate from standard terms or forms. Provide legal support and guidance to internal stakeholders regarding customer and supplier transactions and relationships. Research and analyze federal, state, and local laws and regulations as they relate to the Company’s business and propose strategies for compliance. Provide general legal support with respect to employment and employee benefits matters. Provide legal support for real estate transactions and lease negotiations. With the assistance of outside counsel, maintain the Company’s intellectual property portfolio and apply for new intellectual property registrations. Draft and update corporate policies and procedures, and provide training on legal and compliance matters, as necessary. Provide support for the corporate compliance program as needed including training. Coordinate, manage and consult with outside counsel, as necessary. Assist with transactional due diligence, as necessary. Travel, as necessary. Perform additional duties as assigned.
