Duties and Responsibilities:

• Provide legal counsel on various tax matters, including partnership tax issues, operating agreements, and M&A transactions.
• Draft, review, and negotiate tax-related documents and agreements, ensuring compliance with federal and state tax laws.
• Advise clients on tax implications of business transactions, including mergers, acquisitions, and restructuring.
• Conduct thorough research on tax laws, regulations, and case law to support legal strategies and client recommendations.
• Collaborate with clients, accountants, and other legal professionals to develop and implement tax-efficient strategies.
• Represent clients in tax disputes, including negotiations with tax authorities and litigation when necessary.
• Stay current with changes in tax legislation and policy to provide up-to-date advice and strategies.
• Prepare and present tax-related reports and legal opinions to clients and senior attorneys.

Requirements:

• 3+ years of experience practicing tax law, with a focus on partnership tax, operating agreements, and M&A.
• Strong understanding of federal and state tax regulations and compliance requirements.
• Proven experience in drafting and negotiating complex tax agreements and documents.
• Ability to handle complex tax issues and provide strategic legal advice to clients.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:
